4.3 License Grant

6. Refund and Cancellation Policy

6.2 Refund Process

You agree not to use our Services:

  1. In any way that violates any applicable laws of India or international law or regulation.
  2. To transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or similar solicitation.
  3. To impersonate or attempt to impersonate SleepWise System, our employees, another user, or any other person or entity.
  4. To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm SleepWise System or users of the Services.
  5. To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
  6. To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  7. To share your account credentials or access with any third party.
  8. To reproduce, distribute, or commercially exploit our content without our express written permission.

IN NO EVENT SHALL SLEEPWISE SYSTEM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
    1. Your access to or use of or inability to access or use the Services;
    2. Any conduct or content of any third party on the Services;
    3. Any content obtained from the Services; or
    4. Unauthorized access, use, or alteration of your transmissions or content.
  2. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR RUPEES TEN THOUSAND (₹10,000), WHICHEVER IS GREATER.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

You agree to defend, indemnify, and hold harmless SleepWise System and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. Third-Party Links and Services

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by SleepWise System. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

14. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with applicable Indian data protection laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. 17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

17.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be Delhi, India, and the language of arbitration shall be English. The arbitrator's decision shall be final and binding on both parties.

17.3 Jurisdiction

Subject to the arbitration clause above, the courts of Delhi, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or policies published by us on the Services, constitute the entire agreement between you and SleepWise System regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

20. Waiver

No waiver by SleepWise System of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SleepWise System to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice. Any attempted assignment in violation of this section shall be void.

22. Consumer Protection

Nothing in these Terms shall exclude or limit any rights you may have under the Consumer Protection Act, 2019 or any other applicable consumer protection laws in India. These Terms are in addition to, and not in substitution of, your statutory rights as a consumer.
